The Guarantor has entered into a Deed of Guarantee (“Parental Guarantee”) with the Company. This Parental Guarantee obliges the Guarantor to unconditionally guarantee the Company, inter alia, to pay all moneys, liabilities and payment obligations which may be due, owing or incurred by the Company anywhere and in any manner whatsoever including any claims, losses and return premiums legally payable by the Company to or on behalf of cedants.

This Parental Guarantee is for the benefit of cedants and brokers who may access directly the Guarantor should the Company default in its obligations.
